1. Introduction and Acceptance of Terms

Welcome to hoooyi.com, a website owned and operated by Creri Limited ("HOOOYI", "we", "us", or "our"). These Terms of Use ("Terms") govern your access to and use of hoooyi.com, all related websites, subdomains, mobile applications, features, content, products, services, and functionality operated or made available by HOOOYI (collectively, the "Site").

By accessing, browsing, registering for an account, placing an order, purchasing products, submitting content, or otherwise using the Site, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, as amended from time to time. If you do not agree to these Terms, you must immediately stop using the Site.

HOOOYI is operated by Creri Limited from Hong Kong. Access to or use of the Site from jurisdictions where such access, use, products, services, or content are unlawful is strictly prohibited. Users who access the Site from outside Hong Kong do so on their own initiative and are solely responsible for compliance with all applicable local laws, regulations, customs requirements, import restrictions, product safety rules, taxation obligations, and other legal requirements.

The display of products, prices, promotions, descriptions, availability, or other information on the Site constitutes an invitation to treat only and shall not be construed as a legally binding offer by HOOOYI. By submitting an order, you make an offer to purchase the applicable products subject to these Terms. All orders are subject to acceptance, verification, product availability, payment confirmation, fraud screening, shipping restrictions, sanctions screening, regulatory review, and approval by HOOOYI in its sole and absolute discretion.

HOOOYI reserves the right, without prior notice and for any reason, to refuse, reject, cancel, limit, suspend, or terminate any order, transaction, account registration, customer relationship, or access to the Site, including but not limited to circumstances involving pricing errors, product description errors, inventory inaccuracies, suspected fraud, payment issues, chargeback risks, shipping restrictions, regulatory concerns, sanctions compliance, abusive conduct, or violation of these Terms.

No contract of sale shall be deemed formed until HOOOYI expressly accepts your order. An order acknowledgement, payment confirmation, or automated email does not constitute acceptance of your order unless expressly stated otherwise by HOOOYI.

The information provided on the Site is not intended for distribution to, or use by, any person or entity in any jurisdiction where such distribution, access, use, sale, import, or export would be contrary to law or regulation, or would subject HOOOYI, its affiliates, service providers, suppliers, or business partners to any registration, licensing, tax, reporting, regulatory, or compliance obligation in such jurisdiction.

HOOOYI reserves the right to modify, suspend, restrict, or discontinue any part of the Site, including product offerings, prices, promotions, content, features, functionality, services, or availability, at any time without notice or liability.

2. Eligibility, Sanctions, and Export Compliance

By using the Site, you represent and warrant that you are at least 18 years old or the age of majority in your jurisdiction, whichever is higher, and that you are legally capable of entering into binding contracts. If you are a minor, you may use the Site only under the supervision of a parent or legal guardian who agrees to be bound by these Terms.

You represent and warrant that you are not located in, organized under the laws of, ordinarily resident in, or otherwise subject to the jurisdiction of any country or territory subject to applicable sanctions, embargoes, export controls, or trade restrictions, and that you are not identified on any applicable sanctions, denied persons, restricted persons, blocked persons, or similar list.

You agree not to purchase, import, export, re-export, transfer, or use any product in violation of any applicable sanctions, export control, customs, import, product safety, consumer protection, or trade compliance laws. HOOOYI may refuse, cancel, delay, or restrict any order where it determines, in its sole discretion, that legal, regulatory, sanctions, payment, logistics, or compliance risks may exist.

3. Use of the Site

Subject to your compliance with these Terms, HOOOYI grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Site solely for lawful personal shopping and informational purposes.

This license does not include any right to download, modify, reproduce, copy, sell, resell, distribute, publish, display, perform, commercially exploit, reverse engineer, decompile, disassemble, frame, mirror, scrape, index, or otherwise use any portion of the Site or its content except as expressly permitted by HOOOYI in writing.

HOOOYI grants you a limited, revocable, and non-exclusive right to create a hyperlink to the homepage of the Site solely for lawful and non-commercial purposes, provided that such link does not portray HOOOYI, its affiliates, products, services, personnel, suppliers, or business practices in a false, misleading, defamatory, derogatory, unlawful, offensive, or otherwise objectionable manner. HOOOYI may require the removal of any hyperlink at any time without notice or liability.

No use of HOOOYI's trademarks, logos, trade names, copyrighted materials, proprietary graphics, product images, or other intellectual property in connection with any link is permitted without HOOOYI's prior written consent. All rights not expressly granted to you under these Terms are reserved by HOOOYI and its licensors. Any unauthorized use of the Site automatically terminates all licenses and permissions granted to you and may result in legal action.

4. Prohibited Uses of the Site

You may use the Site only for lawful purposes and in accordance with these Terms. Without limiting any other restrictions, you agree that you shall not, directly or indirectly:

· interfere with, disrupt, damage, impair, overload, or attempt to interfere with the operation, security, availability, or functionality of the Site;
· bypass, disable, defeat, circumvent, or otherwise interfere with any security feature, access control mechanism, rate limitation, authentication system, or      technological protection measure implemented by HOOOYI;
· use any robot, spider, crawler, scraper, bot, data-mining tool, artificial intelligence system, automated process, or similar technology to access, monitor,        extract, copy, index, harvest, scrape, or otherwise collect information from the Site;
· use any content, data, images, descriptions, product information, reviews, pricing information, metadata, or materials from the Site to train, develop,             validate, improve, benchmark, or operate any artificial intelligence, machine learning, large language model, algorithmic system, or similar technology;
· copy, probe, test, monitor, scan, or attempt to access any portion of the Site, server, database, system, network, or infrastructure without authorization;
· take any action that imposes, or may impose, an unreasonable or disproportionately large load on the infrastructure of the Site or any systems or                  networks connected to the Site;
· compile, aggregate, repackage, disseminate, resell, or commercially exploit data available on or extracted from the Site, including product information,        images, descriptions, reviews, prices, availability, promotions, or metadata;
· reproduce, record, retransmit, sell, rent, distribute, publish, post, perform, modify, download, copy, or resell the Site, its content, or any portion or                  derivative   thereof;
· copy, download, collect, harvest, or use any account information, personal information, or user information of any Site user for the benefit of any person        or entity;
· frame or use framing techniques to enclose any trademark, logo, product image, text, page layout, form, or other proprietary information of HOOOYI; ·use    HOOOYI's name, trademarks, service marks, logos, trade names, domain names, or other brand identifiers in any meta tags, hidden text, advertising          keywords, search engine marketing, domain names, social media handles, or unauthorized links;
· upload, transmit, distribute, or introduce any virus, worm, Trojan horse, malware, ransomware, spyware, harmful code, or other malicious technology;
· obtain or attempt to obtain unauthorized access to any computer system, account, password, server, database, payment system, network, or information; · impersonate any person or entity, misrepresent your identity, use a false email address, create fraudulent accounts, or falsely state or imply any affiliation    with HOOOYI or any third party;
· invade the privacy of any person or violate any personal, proprietary, contractual, intellectual property, or other rights of HOOOYI or any third party;
· conduct fraudulent, deceptive, abusive, unlawful, harassing, threatening, defamatory, discriminatory, or otherwise objectionable activities;
· collect or harvest information regarding other users of the Site for any purpose, including sending unsolicited communications, advertising, spam, or            commercial messages.

HOOOYI reserves the right, in its sole discretion and without prior notice, to investigate any suspected violation of these Terms and to suspend, restrict, terminate, or permanently ban access to the Site, any account, device, IP address, payment method, shipping address, or associated activity.

If your conduct causes or may cause loss, damage, liability, cost, or expense to HOOOYI, HOOOYI expressly reserves the right to seek damages, injunctive relief, equitable relief, recovery of legal fees and costs, and any other remedies available under applicable law.

5. Termination of Access

HOOOYI may, in its sole and absolute discretion and without prior notice, suspend, restrict, terminate, or permanently disable your access to all or any part of the Site, your account, any order, any transaction, or any related service for any reason or no reason, to the fullest extent permitted by applicable law.

Reasons may include, without limitation, attempts to gain unauthorized access, attempts to bypass security or payment features, discontinuance or modification of the Site, violation of these Terms or applicable law, failure to pay, suspected or actual fraud, chargeback abuse, refund abuse, coupon abuse, account abuse, payment irregularities, intellectual property infringement, operational difficulties, technical issues, logistics issues, regulatory concerns, or requests from law enforcement, regulators, courts, payment processors, shipping providers, platform providers, or other competent authorities.

You agree that HOOOYI, its affiliates, directors, officers, employees, shareholders, agents, representatives, contractors, licensors, suppliers, service providers, and business partners (collectively, the "HOOOYI Parties") shall not be liable to you or any third party for any suspension, restriction, termination, cancellation, account closure, order refusal, or denial of access to the Site.

Upon termination, all rights and licenses granted to you under these Terms will immediately cease. Any provisions that by their nature should survive termination shall survive, including provisions relating to intellectual property, user submissions, payment obligations, customs and import responsibility, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, and general terms.

6. Intellectual Property Rights

All content available on or through the Site, including text, articles, product descriptions, graphics, logos, icons, images, photographs, videos, audio recordings, software, source code, databases, page layouts, designs, user interfaces, digital downloads, compilations, and other materials (collectively, the "Content") is owned by or licensed to HOOOYI and is protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws.

The compilation, arrangement, selection, coordination, structure, appearance, and presentation of all Content on the Site are the exclusive property of HOOOYI and are protected by applicable intellectual property laws. Except as expressly permitted under these Terms, no Content may be copied, reproduced, distributed, modified, displayed, performed, published, transmitted, sold, licensed, reverse engineered, scraped, indexed, downloaded, stored, or otherwise exploited without HOOOYI's prior written consent.

"HOOOYI", hoooyi.com, all associated logos, trade names, product names, slogans, service marks, domain names, branding elements, and related identifiers are trademarks, trade dress, or proprietary assets owned by HOOOYI or its licensors. All other trademarks, product names, company names, logos, and intellectual property appearing on the Site remain the property of their respective owners. No right, title, license, or permission is granted to use any such item without the prior written consent of the applicable rights holder.

7. User Content, Reviews, and Submissions

The Site may permit users to submit reviews, ratings, comments, photographs, videos, suggestions, ideas, feedback, testimonials, questions, communications, contest entries, or other content (collectively, "Submissions").

By submitting any Submission, you represent and warrant that you own or control all rights necessary to submit it; that it is accurate and not misleading; that it does not violate any law, contract, or third-party right; and that it does not contain unlawful, fraudulent, misleading, defamatory, threatening, abusive, harassing, discriminatory, hateful, obscene, pornographic, violent, offensive, malicious, commercial solicitation, spam, chain letters, mass communications, political campaigning, or unauthorized advertising material.

By posting, uploading, submitting, providing, publishing, transmitting, or otherwise making any Submission available, you irrevocably grant to HOOOYI and its affiliates, successors, assigns, service providers, partners, and sublicensees a worldwide, perpetual, irrevocable, transferable, sublicensable, non-exclusive, royalty-free license to use, host, store, reproduce, modify, adapt, translate, publish, distribute, transmit, display, perform, create derivative works from, reformat, index, tag, archive, commercialize, advertise, promote, and otherwise exploit such Submission, in whole or in part, in any format, technology, platform, channel, or media now known or later developed, for any lawful business purpose without compensation, notice, approval, or attribution.

Without limitation, HOOOYI may use customer reviews, ratings, photographs, videos, testimonials, and related content in advertising, marketing, social media, promotional campaigns, product pages, email communications, and other commercial activities.

To the fullest extent permitted by law, you irrevocably waive and agree not to assert any moral rights, publicity rights, attribution rights, integrity rights, privacy rights, or similar rights in relation to any Submission. To the extent such rights cannot legally be waived, you agree not to enforce them against HOOOYI or any authorized user of the Submission.

HOOOYI reserves the right, but not the obligation, to monitor, review, edit, reject, remove, disable, restrict, archive, or delete any Submission at any time and for any reason without notice. HOOOYI assumes no responsibility for reviewing Submissions and makes no representation regarding the accuracy, legality, or reliability of any Submission. HOOOYI has no obligation to maintain any Submission in confidence, treat any Submission as proprietary, compensate any person, or use, return, respond to, or preserve any Submission.

8. International Customers, Customs, Importation, and Product Compliance

IMPORTANT NOTICE TO CUSTOMERS OUTSIDE HONG KONG.

HOOOYI serves customers located in numerous jurisdictions worldwide. Products offered on the Site may be sourced from different countries and regions and may not be available, approved, registered, licensed, certified, labeled, or compliant in every jurisdiction.

HOOOYI makes reasonable efforts to offer genuine and legitimate products. However, HOOOYI does not represent, warrant, or guarantee that any product offered through the Site may legally be imported into, distributed, resold, possessed, or used in your country, or that it complies with all local regulations, standards, registration requirements, labeling requirements, product safety requirements, consumer protection laws, intellectual property laws, customs regulations, or other legal requirements applicable in your country.

By purchasing any product from the Site, you represent, warrant, and agree that the importation, possession, purchase, use, distribution, resale, and receipt of the product is lawful in your jurisdiction; that you are solely responsible for determining whether the product may legally be imported into your country; that you are solely responsible for obtaining any permits, approvals, registrations, licenses, or authorizations required by local law; that you are the importer of record and initial distributor for all products shipped to your jurisdiction; and that you are solely responsible for all customs duties, import taxes, tariffs, VAT, GST, brokerage fees, inspection fees, regulatory fees, storage fees, penalties, and other governmental charges.

HOOOYI's role is limited to making products available for purchase through the Site and arranging shipment where applicable. Under no circumstances shall HOOOYI be responsible for customs delays, customs holds, customs inspections, customs seizures, import restrictions, import refusals, product confiscations, licensing requirements, product registration requirements, local compliance requirements, intellectual property disputes, product safety regulations, regulatory enforcement actions, or import-related penalties or fines.

By placing an order, you authorize HOOOYI and its designated logistics providers, customs brokers, shipping partners, and service providers to act on your behalf solely for purposes of customs clearance, documentation processing, and shipment administration where permitted by applicable law. Any losses, costs, expenses, delays, penalties, duties, taxes, charges, seizures, destruction of goods, or liabilities arising from importation remain solely your responsibility.

HOOOYI makes no representation that the Site, its Content, or its Products are appropriate, available, lawful, or compliant for use in any jurisdiction outside Hong Kong.

9. Payment, Billing, Taxes, and Currency

HOOOYI may offer various payment methods from time to time, including credit cards, debit cards, PayPal, digital wallets, buy-now-pay-later services, and other payment options. The availability of any payment method may vary by location, product, currency, order value, risk assessment, or other factors and may be changed, suspended, or discontinued at any time without notice.

By submitting an order, you authorize HOOOYI and its designated payment service providers to charge your selected payment method for the full amount of your order, including applicable taxes, shipping fees, duties, surcharges, and other charges. You represent and warrant that you are authorized to use the selected payment method, that all payment information provided is accurate, current, and complete, and that charges incurred by you will be honored by your payment provider.

Your use of any payment card, PayPal account, digital wallet, buy-now-pay-later service, or other payment method may be governed by separate agreements between you and the applicable payment provider.

HOOOYI is not responsible for fees, charges, restrictions, declines, freezes, holds, investigations, currency conversion, or decisions imposed by third-party payment providers. HOOOYI reserves the right to refuse, suspend, cancel, or delay any order if payment cannot be verified, payment authorization fails, fraud is suspected, chargeback risk is identified, or additional verification is required.

You agree to contact HOOOYI customer support before initiating any chargeback, payment dispute, reversal, claim, or complaint with your bank, payment processor, credit card issuer, or payment service provider. Where a chargeback, payment reversal, unauthorized dispute, fraudulent claim, or payment recovery action is initiated, HOOOYI reserves the right to suspend or terminate your account, refuse future transactions, recover amounts owed, offset refunds against outstanding balances, and report suspected fraud to payment providers, financial institutions, law enforcement authorities, or regulatory agencies.

Unless expressly stated otherwise, all prices displayed on the Site are exclusive of import duties, customs charges, brokerage fees, VAT, GST, sales taxes, use taxes, excise taxes, withholding taxes, regulatory charges, and other governmental fees. You are solely responsible for all such taxes, duties, fees, charges, penalties, interest, assessments, and related costs arising from your purchase, importation, possession, use, resale, or distribution of products purchased through the Site. Where required by law, HOOOYI may collect certain taxes, duties, or fees on behalf of governmental authorities.

Prices displayed on the Site may be shown in multiple currencies for convenience only. Where payment is made in a currency other than the billing currency processed by HOOOYI or its payment providers, currency conversion rates will be determined by the applicable payment provider, card issuer, bank, PayPal, or other payment service provider. Exchange rates may fluctuate and may include spreads, service fees, conversion fees, or other charges imposed by third parties. HOOOYI has no control over such rates or fees and accepts no responsibility for any losses arising from currency conversion, exchange rate fluctuations, banking fees, or payment processing fees. No refunds, credits, adjustments, or compensation will be provided due to changes in exchange rates after an order has been placed.

10. Product Information, Availability, Pricing, and Pricing Errors

Product descriptions, specifications, ingredient lists, dimensions, photographs, images, videos, colors, compatibility information, technical information, and other product details may be provided by manufacturers, suppliers, distributors, licensors, or third parties. Although HOOOYI endeavors to provide accurate information, HOOOYI does not warrant or guarantee that any product information, description, specification, image, photograph, review, rating, compatibility information, ingredient list, or other content is accurate, complete, reliable, current, error-free, or suitable for any particular purpose.

Actual products may differ from descriptions, illustrations, images, packaging, colors, specifications, or promotional materials shown on the Site. Product packaging, manufacturer specifications, ingredients, and product features may change without notice. You are solely responsible for determining whether any product is suitable for your intended use.

All products are subject to availability. HOOOYI does not guarantee that any product will remain available for purchase, shipment, replenishment, or continued sale. HOOOYI may discontinue products, limit quantities, restrict sales by region, restrict sales by customer, cancel orders, or substitute packaging, labeling, or product configurations where permitted by law.

Prices displayed on the Site are subject to change at any time without notice. Placing a product in a shopping cart, wish list, saved basket, or checkout page does not reserve the product, guarantee availability, or lock in any price.

Despite reasonable efforts, products may occasionally be listed with incorrect prices, incorrect discounts, incorrect promotions, inaccurate availability, typographical errors, currency conversion errors, system errors, technical errors, or other inaccuracies. HOOOYI reserves the right, at any time and without liability, to correct any error, inaccuracy, omission, or misstatement; revoke any stated offer, promotion, coupon, discount, rebate, reward, or benefit; modify product information, specifications, availability, descriptions, images, shipping information, or pricing; and refuse, reject, cancel, or terminate any order.

These rights apply regardless of whether an order has been submitted, acknowledged, accepted, invoiced, charged, shipped, or delivered. If payment has already been collected for an order that is subsequently cancelled due to a pricing error, technical error, product unavailability, regulatory restriction, fraud concern, or other issue, HOOOYI's sole obligation shall be to refund the amount actually received for the affected order.

Price comparisons or "save" amounts may be shown for convenience. Such comparisons may reflect list prices, manufacturer suggested retail prices, previous prices, promotional comparisons, or other reference prices. HOOOYI makes no representation that a substantial number of products have been sold or offered at any such reference price.

11. Order Processing, Shipment, Returns, and Warranties

All orders are subject to the order acceptance provisions in these Terms. HOOOYI may confirm receipt of an order by email, app notification, or other electronic communication, but such confirmation does not constitute acceptance unless expressly stated by HOOOYI.

Title to products and risk of loss pass to you upon delivery of the products to the carrier, logistics provider, freight forwarder, postal service, or other common carrier selected by HOOOYI or its logistics partners, unless otherwise required by applicable law. Shipping dates, delivery dates, transit times, and estimated arrival dates are estimates only and are not guaranteed. HOOOYI is not liable for delays, failed delivery attempts, lost packages after delivery confirmation, customs delays, carrier errors, incorrect addresses, refused shipments, unclaimed packages, or events outside its reasonable control.

You are responsible for providing accurate and complete shipping information. HOOOYI may refuse, delay, or cancel an order if shipping information is incomplete, inaccurate, restricted, high-risk, undeliverable, or subject to legal or logistical limitations.

You are obligated to take delivery of products you order. If the quantity delivered is less than the quantity ordered, any amount charged to you shall be adjusted to reflect the lower quantity, and such discrepancy shall not constitute a material breach of these Terms.

Returns, replacements, repairs, exchanges, refunds, or store credits are governed by HOOOYI's Return Policy as posted on the Site from time to time. HOOOYI may require prior authorization before any return is accepted. Products may be rejected for return if they are used, worn, washed, altered, damaged, missing packaging, missing tags, missing accessories, returned outside the applicable return window, returned without authorization, or suspected to be associated with fraud, abuse, or misuse.

Refunds, if approved, may be issued to the original payment method, as store credit, as a replacement, as a repair, or by another method determined in accordance with the applicable Return Policy and applicable law. Shipping fees, customs duties, taxes, payment processing fees, currency conversion losses, handling charges, and similar costs may be non-refundable unless otherwise required by law.

Unless HOOOYI expressly provides a separate written warranty for a specific product, HOOOYI does not provide any product warranty. Requests for technical service, support, replacement, or warranty claims should be made directly to the manufacturer or supplier in accordance with any manufacturer warranty or product documentation. HOOOYI shall have no liability for product failure, malfunction, misuse, incompatibility, normal wear and tear, user error, unauthorized repair, or any failure to follow product instructions, warnings, or applicable laws.

12. Privacy, Data Security, and Accounts

Please review HOOOYI's Privacy Policy, which also governs your access to and use of the Site and explains HOOOYI's practices regarding collection, use, disclosure, transmission, storage, and protection of personal information. HOOOYI endeavors to handle personal data in accordance with applicable privacy laws, including the Personal Data (Privacy) Ordinance, Cap. 486 of the laws of Hong Kong, where applicable.

You acknowledge that portions of the Site may be public or interactive and that Submissions or information you make publicly available may be seen, used, or shared by others. You provide such information at your own risk. HOOOYI may remove or alter any information, Content, or Submission posted or disclosed on the Site at any time for any reason.

While HOOOYI takes reasonable steps to safeguard personal information, no method of transmission over the internet or electronic storage is completely secure. HOOOYI does not warrant that unauthorized access, hacking, data loss, interception, or other security incidents will never occur. Any information transmitted to HOOOYI is transmitted at your own risk.

Certain portions of the Site may require you to create an account, username, and password. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify HOOOYI immediately of any unauthorized use of your account or any security breach. You may not use another person's account or allow any other person to use your account.

You agree to provide accurate, current, and complete account, billing, and shipping information and to promptly update such information. If HOOOYI has reasonable grounds to suspect that any information is untrue, inaccurate, not current, incomplete, fraudulent, or misleading, HOOOYI may suspend or terminate your account, refuse orders, or take other appropriate action.

13. Third-Party Websites, Applications, and Links

The Site may contain links, log-in interfaces, integrations, widgets, applications, tools, or other connections to third-party websites, platforms, software, or services (collectively, "Third-Party Applications"). Such Third-Party Applications may be owned or operated by parties not related to HOOOYI.

Third-Party Applications are provided solely for convenience. HOOOYI does not control, sponsor, approve, endorse, warrant, or assume responsibility for any Third-Party Application, its operator, its content, its products, its services, its privacy practices, its security, or its performance. Your use of any Third-Party Application is at your sole option and risk and may be governed by separate terms, policies, licenses, and agreements of the relevant third party.

If you use a Third-Party Application to share information about you, your actions on the Site, or your HOOOYI account, you consent to such sharing and acknowledge that the information may be publicly disclosed or further used by the Third-Party Application according to its own policies. The HOOOYI Parties shall not be responsible for any sharing, disclosure, processing, storage, loss, misuse, or other handling of information by any Third-Party Application.

If you have questions, concerns, complaints, or claims about a Third-Party Application, you should contact the relevant third party and not HOOOYI.

14. Promotions and Communications

Any promotions, contests, coupons, discounts, rewards, loyalty programs, giveaways, or special offers made available through the Site may be governed by specific rules separate from these Terms. HOOOYI may modify, suspend, cancel, revoke, or limit any promotion at any time, including where fraud, abuse, technical errors, eligibility issues, or other concerns are identified.

Unless otherwise stated in the applicable rules, all information submitted in connection with a promotion will be considered a Submission and will be subject to these Terms. THE SITE AND ALL INFORMATION, CONTENT, MATERIALS, PRODUCTS, APPLICATIONS, THIRD-PARTY CONTENT, AND SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE THROUGH THE SITE ARE PROVIDED BY HOOOYI ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE HOOOYI PARTIES DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, SECURITY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

HOOOYI DOES NOT WARRANT THAT THE SITE, ITS SERVERS, EMAILS, APPLICATIONS, CONTENT, PRODUCTS, OR SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, VIRUS-FREE, DEFECT-FREE, ACCURATE, COMPLETE, RELIABLE, CURRENT, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION.

HOOOYI DOES NOT WARRANT THE PERFORMANCE, QUALITY, SAFETY, LEGALITY, COMPLIANCE, DESCRIPTION, CONFORMITY, OR FITNESS OF ANY SUPPLIER, MANUFACTURER, CARRIER, PAYMENT PROVIDER, THIRD-PARTY APPLICATION, OR THIRD-PARTY PRODUCT. YOUR USE OF THE SITE AND PRODUCTS PURCHASED THROUGH THE SITE IS AT YOUR SOLE RISK.

Nothing in these Terms excludes or limits any warranty, right, or remedy that cannot lawfully be excluded or limited under applicable law.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NO HOOOYI PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, ECONOMIC, OR SIMILAR DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, REPUTATIONAL HARM, PROCUREMENT OF SUBSTITUTE GOODS, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO THE SITE, PRODUCTS, SERVICES, CONTENT, SUBMISSIONS, THIRD-PARTY APPLICATIONS, EMAILS, SECURITY INCIDENTS, SHIPPING, IMPORTATION, OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE, STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF ANY HOOOYI PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE FOREGOING, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF THE HOOOYI PARTIES ARISING OUT OF OR RELATED TO ANY PRODUCT ORDERED FROM THE SITE, REGARDLESS OF THE FORM OF ACTION OR CLAIM, SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO HOOOYI FOR THE RELEVANT PRODUCT GIVING RISE TO THE CLAIM.

Where applicable law does not allow the exclusion or limitation of certain damages, warranties, or liabilities, some or all of the above exclusions and limitations may not apply to you, and you may have additional rights. In such case, the liability of the HOOOYI Parties shall be limited to the maximum extent permitted by applicable law.

17. Indemnification

You agree to defend, indemnify, and hold harmless the HOOOYI Parties from and against any and all claims, demands, actions, proceedings, losses, damages, liabilities, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys' fees and legal costs, arising out of or related to:

· your access to or use of the Site;your breach or alleged breach of these Terms;
· your violation of any applicable law, regulation, or third-party right;your Submissions or other content provided by you;
· your purchase, importation, possession, use, resale, distribution, or disposal of any product;

HOOOYI reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with HOOOYI's defense of such claims.

18. Force Majeure

HOOOYI shall not be liable for any delay, failure, interruption, loss, damage, cancellation, non-performance, or inability to perform resulting from events beyond its reasonable control, including acts of God, natural disasters, severe weather, fire, flood, earthquake, war, terrorism, civil unrest, labor disputes, strikes, lockouts, governmental actions, sanctions, embargoes, changes in law, epidemics, pandemics, public health emergencies, cyberattacks, security incidents, internet outages, telecommunications failures, power failures, payment provider outages, supplier failures, manufacturing disruptions, transportation interruptions, carrier delays, port congestion, customs delays, import restrictions, or other events beyond HOOOYI's reasonable control.

19. Applicable Law and Dispute Resolution

The Site is controlled, operated, and administered by HOOOYI from Hong Kong and is not intended to subject HOOOYI to the laws or jurisdiction of any state, country, or territory other than Hong Kong, except to the extent mandatorily required by applicable law.

These Terms and any dispute, controversy, or claim arising out of or relating to these Terms, the Site, your use of the Site, your Submissions, the licenses granted under these Terms, or any products purchased through the Site shall be governed by and construed in accordance with the laws of Hong Kong, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms, the Site, your use of the Site, your Submissions, or products purchased through the Site shall be submitted to confidential, final, and binding arbitration in Hong Kong. Arbitration shall be administered by the Hong Kong International Arbitration Centre under the UNCITRAL Arbitration Rules in force at the time of commencement of arbitration. There shall be one arbitrator. The seat and place of arbitration shall be Hong Kong. The arbitration shall be conducted in the English language. Any non-English documents submitted in the arbitration shall be accompanied by a certified English translation. The arbitral award shall be final and binding and may be entered and enforced in any court of competent jurisdiction.

Notwithstanding the foregoing, if you have violated or threatened to violate the intellectual property rights, confidential information, data rights, security, systems, or business operations of HOOOYI or any affiliate, licensor, or supplier of HOOOYI, HOOOYI may seek injunctive, equitable, or other appropriate relief in any court of competent jurisdiction.

To the fullest extent permitted by applicable law, you and HOOOYI agree that any dispute resolution shall be conducted only on an individual basis and not as a class, collective, consolidated, representative, private attorney general, or mass action. You waive any right to participate in any class action, collective action, consolidated action, representative action, or similar proceeding against HOOOYI, to the fullest extent permitted by applicable law.

20. General Provisions

If any provision of these Terms is deemed invalid, void, unlawful, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions. The invalid or unenforceable provision shall be enforced to the maximum extent permitted by law or replaced by a valid provision that most closely reflects the original intent.

No delay or failure by HOOOYI to enforce any provision of these Terms shall constitute a waiver of such provision or any other provision. Any waiver must be in writing and signed by HOOOYI to be effective.

These Terms, together with the Privacy Policy, Return Policy, Shipping Policy, and any other policies posted on the Site from time to time, constitute the entire agreement between you and HOOOYI with respect to the Site and supersede all prior or contemporaneous agreements, communications, representations, or understandings relating to the subject matter.

You may not assign, transfer, or delegate any rights or obligations under these Terms without HOOOYI's prior written consent. HOOOYI may assign, transfer, subcontract, or delegate any of its rights or obligations under these Terms at any time without notice or consent.

The headings used in these Terms are for convenience only and do not affect the interpretation of these Terms. The words "including" and "include" mean "including without limitation."

21. Modifications to Terms

HOOOYI reserves the right, in its sole discretion, to change, add, remove, or update any portion of these Terms at any time without prior notice. The amended Terms are effective from the date they are published on the Site, unless otherwise stated.

It is your responsibility to review these Terms each time before using the Site or placing an order. Your continued access to or use of the Site after the posting of revised Terms constitutes your acceptance of the revised Terms.

All subsequent purchases, Submissions, and uses of the Site will be subject to the then-current version of these Terms.
